1. Scope and application
1.1 These WeCom Terms of Use set out the terms governing your (including any of your Authorised Representatives’) communications with us via the use of our J.P. Asset Management WeCom account (“WeCom Services”).
1.2 J.P. Morgan Asset Management is the marketing name for the investment management businesses of JPMorgan Chase & Co. and its affiliates worldwide.
“JPMAM” , “we” or “us” means the JPMorgan entity the employee(s) or representative(s) of which communicate(s) with you or your Authorised Representative via the WeCom Services.
“JPMorgan” means JPMorgan Chase & Co. and each of its subsidiaries.
“Authorised Representative” means any person authorised by you
(a) (as notified to us from time to time) to communicate with us; and/or
(b) in connection with any service or transactional agreement(s) you may have with us (including without limitation any distribution agreements, investment management agreements, MasterAccount Terms and Conditions or broker or trading agreements, as applicable) or otherwise in writing.
1.3 By using the WeCom Services or continuing to use the WeCom Services, or by permitting any of your Authorised Representatives to use or continue to use the WeCom Services, you are deemed to agree to be bound by these Terms.
1.4 If you do not agree to these Terms or do not want to use the WeCom Services to communicate with us, it is your responsibility to stop using the WeCom Services to communicate with us and prevent your Authorised Representatives from doing so. You shall review and comply with our usage guide for the WeCom Service. You shall be responsible for all damages and losses arising from any non-compliance.
1.5 These Terms do not apply to (i) your use of WeCom Services for communication with any person other than the employee(s) or representative(s) of JPMAM, and (ii) other approved channels of communication that you may use to communicate with the employee(s) or representative(s) of JPMAM from time to time.
1.6 These Terms are in addition to any terms and conditions that may be applicable to you as a user of WeCom Services. Your use of the WeCom Services and any data transmitted through WeCom Services (including confidential information and personal data) are subject to the terms and policies of WeCom or WeChat, compliance with which you are solely responsible for.
1.7 JPMAM reserves the right to amend or supplement these Terms from time to time, and any such amendment or supplement will be made available to you. JPMAM encourages you to regularly check these Terms and we will include the effective date in order to help you check whether there have been any changes since you last accessed these Terms. Your continued communication with us via the WeChat Services constitutes your acceptance of and agreement to be bound by any amendments to these Terms.
2. Data
2.1 By using the WeCom Services, you agree that: (i) your WeChat Services communications with us will be monitored and recorded by JPMorgan for the purposes of ensuring compliance with our legal and regulatory obligations and internal policies; (ii) any data (including personal data) provided by you in relation to your conversations, including your use of the WeCom Services, may be collected, used, processed, disclosed, transferred and retained by JPMorgan and disclosed between JPMorgan entities, and by JP Morgan to our third party service providers for:
(a) monitoring and recording purposes mentioned above;
(b) JPMorgan and our third party service providers to facilitate the provision of services and products to you; and/or
(c) for the proper operation of the businesses of JPMorgan as necessary; (iii) such data may be stored overseas, outside of the country from which you access the WeCom Services; and (iv) JPMorgan may otherwise collect, use, process, disclose, transfer, retain or otherwise handle your personal data (to the extent relevant to WeCom Services) in accordance with J.P. Morgan Asset Management’s privacy policy which can be found at:

2.2 You agree that any message sent by us using the WeChat Services is specific to the intended recipient, is provided on a confidential basis, and may not be reproduced, redistributed or disseminated, in whole or in part, without our prior written consent. If you are not the intended recipient of a message, you are not authorized to use or rely on the information in such message in any way. Please delete any message for which you are not the intended recipient and notify the sender and us immediately. Any unauthorized use is strictly prohibited.
3. Representations and warranties
3.1 You represent and warrant that:
(a) you have full power, authority and capacity to enter into and perform your obligations under these Terms;
(b) you have authorized your Authorised Representatives to use the WeCom Services to communicate with us, and your Authorised Representatives are permitted to share potentially confidential and/or potential inside information through WeCom Services; and
(c) you shall not delete or recall messages when using the WeCom Services and you shall procure your Authorized Representatives not to do so.
4. Security measures and contingency plan
4.1 If JPMAM has any doubt as to the authenticity or validity of any messages communicated using WeCom Services, JPMAM may verify the messages through any means as necessary, including through different channels of communication such as by calling you at your registered phone number.
4.2 For the sake of clarity, JPMAM may acknowledge receipt of any messages received from you by repeating and/or confirming them in the reply message.
4.3 JPMAM will keep abreast of threat intelligence and fraud trends relating to instant messaging applications to ensure that adequate and appropriate security safeguards are implemented to prevent unauthorized access or security attack.
4.4 The parties acknowledge that WeCom Services are third party owned and operated instant messaging application over which neither party has control.
5. Risk warning
5.1 Please be aware that there are certain risks involved in using a third party owned and operated instant messaging application such as WeCom Services. There may be situations in which your messages may be misrouted, delayed, deleted or not be delivered to us, including for the following reasons and JPMAM shall not be liable for any losses, claims, costs, damages or expenses of any kind whatsoever that you may suffer or incur by reason of:
(a) JPMAM may not be able to monitor WeCom Services messages in real time and may not be able to respond in a timely manner;
(b) there may be misunderstandings or errors in the information or messages;
(c) an unintended disclosure of the information or instructions which may occur during transmission over WeCom Services;
(d) there may be a disruption or outage in the WeCom Services system or a network issue that may inhibit our ability to receive or respond to your messages; or
(e) JPMAM may be required to make further enquiries to verify your identity and confirm the authenticity of your messages.
5.2 You understand and acknowledge that WeCom Services are an unsecure medium for transmission of information or instructions and the following are examples of security threats that you and your
Authrosied Representatives should be aware of and should take active measures to avoid:
(a) Phishing messages or links – messages purporting to be from a trusted party may be sent to a user via WeCom Services by imitating that party’s username or content. The user must pay attention to the authenticity of the source of messages and be aware of potential phishing scams or fraud;
(b) Malware – messages with malicious software may be contained in attachments to users which may compromise the users system;
(c) Data leakage – message contents might be intercepted and eavesdropped and may cause leakage of sensitive information;
(d) Account theft – hackers may be able to obtain the password of a WeCom Services account and misappropriate the account or create fake account. The risk may be heightened if the user uses WeCom Services on multiple platforms (e.g. on a mobile device and desktop);
(e) Vulnerable applications – if users do not update applications immediately upon release, hackers may exploit identified vulnerabilities in the software to gain unauthorized access or compromise an account.
You will indemnify and hold JPMAM safe and harmless from any losses, claims, costs, damages or expenses of any kind whatsoever (“Losses”) that JPMorgan or any of its personnel may suffer or incur as a result of the above security threats and JPMAM acting on the messages from you or your Authorised Representatives or JPMAM reasonably believes from you or your Authorised Representatives, other than Losses that arise directly and solely from JPMorgan’s own gross negligence or willful misconduct.
5.3 Please be aware that there are increasing number of cases where social media accounts have been stolen from users and used for illegal purposes. The following relevant precautions have been recommended to users:
(a) Use two-factor authentication for logging into accounts;
(b) Do not disclose account passwords to any party without proper reason.
5.4 We may link to content on third-party websites or refer to advice or statements of third parties; the transmission of such information does not constitute an endorsement of the organization or the activity on the third-party site. We make no representation as to the accuracy, completeness, timeliness or suitability of such information, and we have not and will not review or update such information and caution you that any use or reliance on such information is at your own risk.
6. Governing law
These Terms shall be governed by and construed in accordance with English laws.

1.3 当您使用企业微信服务或继续使用 企业微信服务,或允许您的任何授权代表使用或继续使用 企业微信服务,即被视为您同意受本条款的约束。
1.4 如果您不同意此等条款或不想使用企业微信服务与我们沟通,您有责任停止使用企业微信服务与我们沟通,您亦有责任阻止您的授权代表使用企业微信服务与我们沟通。您应细阅并遵守我们企业微信服务使用指南,并对任何不合规行为造成的损害和损失负责。
1.5 本条款不适用于(i)您使用企业微信服务与摩根資產管理员工或代表以外的任何人沟通,及(ii)其他经批准可用于与摩根資產管理员工或代表沟通的通信工具。
1.6 本条款是对适用于企业微信服务用户的任何条款和条件的附加条款。您对企业微信服务的使用和通过企业微信服务传输的任何数据(包括保密信息和个人资料)受企业微信或微信账户的条款和政策约束,您将全权负责遵守此等条款和政策。
1.7 摩根資產管理保留不时修改或补充本条款内容的权利,而您将可以获得任何此类修订或补充。摩根資產管理建议您定期查看本条款,我们将载列条款的有效日期,以助您查核自您上次查看本条款以来是否有任何更改。当您继续通过微信服务与我们沟通即代表您接受并同意受本条款经任修改后之版本的约束。
2. 数据
2.1 使用企业微信服务,即表示您同意:(i)您与我们之间通过微信的通信将被摩根监控和记录以确保遵守我们的法律和监管义务及内部政策;(ii)任何您所提供数据(包括个人资料)和对话,包括您对企业微信服务的使用,可由摩根收集、使用、处理、披露、转移和保留、向其他摩根实体披露、并由摩根转给我们的第三方服务供应商,用于:
(a)就上述目的作监控和记录;
(b)让摩根及第三方服务供应商向您提供服务和相关产品;及/或

2.2 您同意任何我们使用微信服务所发送的信息只供既定接收者收取,须予保密,未经我们事先书面同意不得复制、分发或传播当中全部或部分内容。 如果您不信息的既定接收者,您无权以任何方式使用或依赖该信息。 请删除此等信息并通知信息发送人。 任何未经授权的使用皆严格禁止。
3. 声明和保证
3.1 您声明并保证:
(a)您拥有同意及履行您在本条款下的义务的全部权力、权限和能力;
(b)您已授权您的授权代表使用企业微信服务与我们通信,而您的授权代表获准通过企业微信服务分享潜在保密及/或潜在内部信息;以及
(c)在使用企业微信服务时,您不得删除或撤回信息,您亦会确保您的授权代表不会删除或撤回信息。
4. 安全措施和应急计划
4.1 如果摩根資產管理对任何使用企业微信服务所传达之信息的真确性或效力有疑问,摩根資產管理可按需要通过任何方式,包括通过不同沟通渠道,例如致电给您的注册电话号码,以验证该信息。
4.2 为明确起见,摩根資產管理可能会在回复您的信息时重复及/或确认从您收到的任何信息。
4.3 摩根資產管理将留意对即时信息应用程序有威胁的情报和有关欺诈活动的趋势,以确保实施充足及适当的安全保护措施,防止未经授权的登入或安全攻击。
4.4 双方承认企业微信服务是第三方拥有并运营的即时通讯应用程序,任何一方都没有控制权。
5. 风险警告
5.1 使用如企业微信服务等第三方拥有和经营的即时通讯应用程序有一定的风险。在某些情况下,您的信息可能包括由于以下原因被错误传送、延迟、删除或未能传输,摩根資產管理将不承担任何您可能因以下原因遭受的损失、索赔、成本、损害或费用:
(a)摩根資產管理可能无法实时监控企业微信服务的信息和及时作出应对;
(b)信息中可能存在误解或错误的資訊;
(c)可能在通过企业微信服务通信期间意外披露資訊或指示;
(d)企业微信服务的系统或网络可能会中断或停頓,可能会妨碍我们接收或回复您的信息;或
(e)摩根資產管理可能需要进一步验证您的身份并确认信息的真实性。
5.2 您知悉并理解企业微信服务是非加密的信息传输渠道。以下有關安全威脅的一些例子,您和您的授权代表应知悉并積極采取措施:
(a)网络钓鱼信息或链接 – 声称来自受信任方可通過模仿该方的用户名或内容向企业微信服务用户发送信息。 用户必须注意信息来源的真实性,對潜在的网络钓鱼骗局或欺诈之可能保持警惕;
(b)恶意软件 –信息附件中可能包含恶意软件,可能会危及用户系统;
(c)数据泄露 – 信息内容可能被拦截、窃听,并可能导致敏感信息泄露;
(d)帐户盗用 – 黑客可能能够获得企业微信服務帐户的密码并盗用该账户或创建虚假账户。如果用户在多个平台(例如在移动设备和桌面设备)上使用企业微信服务,此风险可能会更大;
(e)易受攻击的应用程序 – 如果用户不在更新发布后立即更新应用程序,黑客可能会利用软件中發現的弱点,以未经授权登入帐户或破坏帐户。
若摩根資產管理因上述安全威胁所遭受或蒙受,及摩根資產管理根据您或您的授权代表所發的信息或摩根資產管理根据其合理地相信的您或您的授权代表所發的信息行事而使得摩根資產管理遭受或蒙受任何损失、索赔、成本、损害或费用(“损失”),您同意對該等损失向摩根資產管理作出赔偿并使其免受损害,除非該等损失是直接及完全因摩根自身的重大过失或故意不当行为所引起。
5.3 请注意,社交媒体帐户从用户处被盗用,並用于非法目的之案件日益增多。 建議用户采取以下相关预防措施:
(a) 使用双重验证登录帐户;
(b) 不在没有合适理由的情况下向任何人透露账户密码。

6. 管辖法律
本条款应受英国法律规定管辖并据英国法律解释。
